General Terms and Conditions of Sale

1. General Information

These general conditions govern the commercial relationships between:

and the professional client or company (hereinafter, the "Client") placing orders for products through the website www.carchivo.com or through commercial channels enabled by CARCHIDEA, S.L.

2. Purpose

These conditions regulate the sale of products offered by CARCHIDEA, S.L. to companies, distributors, retailers, or any professional acting within the scope of their business or commercial activity.

3. Acceptance and Validity

Placing an order implies express acceptance of these general conditions. Any specific terms agreed between the parties must be in writing and expressly accepted by CARCHIDEA, S.L.

4. Orders and Availability

All orders are subject to stock availability. CARCHIDEA, S.L. reserves the right to reject orders if there are outstanding debts or previous incidents of non-payment.

The Client is responsible for checking the accuracy of the order details before confirmation.

5. Prices and Payment Terms

Prices indicated do not include taxes or shipping costs unless expressly stated. Prices are valid except for typographical errors and may be changed without prior notice.

Payment terms will be set based on the Client's commercial history:

  • By default, payment in advance by bank transfer, card, or other enabled methods.
  • In case of specific agreements, deferred payment (30, 60 days, etc.) may be granted subject to express authorization by CARCHIDEA, S.L.
  • In the event of total or partial non-payment, CARCHIDEA, S.L. may apply legal default interest, charge bank fees, suspend deliveries, cancel special commercial conditions, or require advance payment for future orders.

6. Delivery and Transportation

Delivery times are indicative and may vary depending on availability, order volume, and destination. CARCHIDEA, S.L. shall not be responsible for delays due to reasons beyond its control.

The goods travel at the Client's risk from the moment they leave our facilities, unless otherwise agreed (Incoterms or prepaid freight). The Client must verify the condition of the products upon receipt and report any incident in writing within 48 hours.

7. Returns and Claims

No returns will be accepted without prior authorization from CARCHIDEA, S.L. Requests must be made within a maximum of 7 calendar days from receipt of the order.

Returns of customized, manipulated, used products or products not in their original packaging and perfect condition will not be accepted.

In case of justified error or defect, the product will be replaced, credited, or resent, at the discretion of CARCHIDEA, S.L., without assuming additional costs beyond those directly derived from the error.

8. Ownership of Products

Until full payment of the order is made, the delivered products will remain the property of CARCHIDEA, S.L. (retention of title), even though the risk is transferred to the Client upon dispatch.

9. Intellectual and Industrial Property

All products, designs, trademarks, and catalog materials are the property of CARCHIDEA, S.L. or their legitimate owners. The Client agrees to respect these rights and not to use them outside of the authorized activity (sales, promotion, etc.).

Reproduction, either full or partial, of catalogs, logos, images, or texts without express authorization is prohibited.

10. Data Protection

Both parties agree to comply with current legislation on personal data protection. More information is available in our Privacy Policy.

11. Limitation of Liability

CARCHIDEA, S.L. shall not be liable for loss of profit, loss of business, business interruption, or any indirect damage resulting from the use or commercialization of its products.

CARCHIDEA, S.L.'s direct liability to the Client, for any reason, shall be limited to the value of the goods subject to the claim.

12. Governing Law and Jurisdiction

These conditions are governed by Spanish law. Both parties, expressly waiving any other jurisdiction, submit to the Courts and Tribunals of Vigo (Pontevedra) for the resolution of any conflict arising from this contract.
